1. Acceptance of Terms

By accessing or using services provided by Elite Global Systems INC, you agree to these Terms & Conditions.


2. Services

Elite Global Systems INC provides IT consultancy services, including:

  • IT Strategy & Planning
  • Infrastructure & Systems Consulting
  • Software Development & Integration
  • Cybersecurity Consulting
  • Cloud Services
  • Data & Analytics

All services are governed by separate agreements, proposals, or Statements of Work (SOW).


3. Client Obligations

Clients agree to:

  • Provide accurate and complete information
  • Use services lawfully
  • Maintain confidentiality of credentials
  • Cooperate in project execution

4. Fees & Payment

  • Fees are defined in proposals or agreements
  • Payments must be made on time
  • Late payments may result in suspension or termination
  • Payments are processed securely via third-party providers such as Stripe

5. Refund Policy

  • Consultancy services are generally non-refundable once delivered
  • Any exceptions will be explicitly stated in written agreements

6. Intellectual Property

  • Pre-existing intellectual property remains with its owner
  • Deliverables transfer to the client only upon full payment, unless otherwise agreed
  • The Company retains rights to general methodologies and expertise

7. Confidentiality

Both parties agree to protect confidential information and not disclose it without prior consent, except as required by law.


8. Limitation of Liability

To the maximum extent permitted by law:

  • The Company shall not be liable for indirect or consequential damages
  • Total liability is limited to the amount paid for the relevant services

9. Disclaimer

Services are provided on an “as-is” basis without warranties of any kind.


10. Termination

We reserve the right to suspend or terminate services if:

  • Terms are violated
  • Payments are overdue
  • Unlawful activity is detected

11. Data Protection

All personal data is handled in accordance with our Privacy Policy.


12. Governing Law

These Terms & Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario, Canada, and the applicable federal laws of Canada, without regard to its conflict of law principles.


13. Dispute Resolution

In the event of any dispute, claim, or controversy arising out of or relating to these Terms & Conditions or the services provided by Elite Global Systems INC:

  1. The parties agree to first attempt to resolve the dispute through good-faith negotiations.
  2. If the dispute is not resolved within a reasonable period, it shall be referred to and finally resolved by binding arbitration.
  3. The arbitration shall:
    • Be conducted in Ontario, Canada
    • Be held in the English language
    • Follow generally accepted commercial arbitration rules applicable in Ontario
  4. The decision of the arbitrator shall be final and binding on both parties.
  5. Each party shall bear its own legal fees and costs unless otherwise determined by the arbitrator.

14. Amendments

We reserve the right to modify these Terms at any time. Updates will be posted on our website.
